Academic Writer Terms and Conditions

These Terms and Conditions outline the expectations, responsibilities, and legal agreements between Scholastia and the eBook writer (hereinafter referred to as the “Writer”). By accepting the offer to write an academic eBook for Scholastia, the Writer agrees to the following terms:
1. Writer Responsibilities:
You represent and warrant that:
- your Submitted Content will not infringe or misappropriate any third party’s intellectual property rights;
- you have the required qualifications, credentials, and expertise (including education, training, knowledge, and skill sets) to teach and offer the services that you offer through your Submitted Content and use of the Services; and
- you will provide and maintain accurate account information;
- you own or have the necessary licenses, rights, consents, permissions, and authority to authorize Scholastia to use your Submitted Content as specified in these Terms and the Terms of Use;
- you will ensure a quality of service that corresponds with the standards of your industry and instruction services in general.
You warrant that you will not:
- post or provide any inappropriate, offensive, racist, hateful, sexist, pornographic, false, misleading, incorrect, infringing, defamatory or libelous content or information;
- post or transmit any unsolicited or unauthorized advertising, promotional materials, junk mail, spam, or any other form of solicitation (commercial or otherwise) through the Services or to any user;
- frame or embed the Services (such as to embed a free version of a course) or otherwise circumvent the Services;
- impersonate another person or gain unauthorized access to another person’s account;
- interfere with or otherwise prevent other writers from providing their services or content; or
- abuse Scholastia resources, including support services.
- use the Services for business other than providing writing and instructional services to customers;
- engage in any activity that would require us to obtain licenses from or pay royalties to any third party, including the need to pay royalties for the public performance of a musical work or sound recording;
2. License to
You grant Scholastia the rights to offer, market, and otherwise exploit your Submitted Content. This includes the right to add captions or otherwise modify Submitted Content to ensure accessibility. You also authorize Scholastia to sublicense these rights to your Submitted Content to third parties, including to learners directly and through third parties such as resellers, distributors, affiliate sites, deal sites, and paid advertising on third-party platforms. We may record and use all or any part of your Submitted Content for quality control and for delivering, marketing, promoting, demonstrating, or operating the Services. You grant Scholastia permission to use your name, likeness, voice, and image in connection with offering, delivering, marketing, promoting, demonstrating, and selling the Services, your Submitted Content, or Scholastia’s content, and you waive any rights of privacy, publicity, or other rights of a similar nature, to the extent permissible under applicable law.
3. Scope of Work
The Writer agrees to create an academic eBook in accordance with the specifications, guidelines, and deadlines provided by Scholastia. The eBook shall be original, professionally written, and tailored to meet the target audience’s needs.
4. Ownership and Copyright
Upon completion of the eBook, the Writer acknowledges that the content will be the sole and exclusive property of Scholastia. The Writer will transfer all intellectual property rights to Scholastia, including copyrights, in exchange for agreed-upon compensation. The Writer shall not reuse or republish any part of the content without prior written consent from Scholastia.
5. Payments and Compensations
The Writer will receive compensation as agreed upon in the contract. Payment will be made upon the following schedule:
- Royalty payments as per the terms specified by Scholastia.
All payments will be made in the manner agreed upon (e.g., bank transfer, net banking, UPI etc.). No further compensation will be owed unless otherwise specified in a separate agreement.
6. Deadlines and Timeliness
The Writer agrees to meet all deadlines outlined in the contract. Timely submission is critical, and any delays must be communicated to Scholastia in advance. Failure to meet deadlines may result in delayed payment or termination of the agreement, depending on the nature of the delay.
7. Revisions and Edits
The Writer agrees to provide revisions and edits as necessary, based on feedback from Scholastia. If additional revisions are required that are outside the original scope, additional charges may be discussed and agreed upon by both parties.
8. Confidentiality
The Writer agrees to keep all information related to the eBook, including but not limited to content, structure, and proprietary information, confidential. This confidentiality obligation extends beyond the termination of this agreement.
9. Plagiarism and Originality
The Writer guarantees that the eBook will be an original work and will not infringe upon the copyrights or intellectual property rights of others. The eBook must not contain plagiarized content, and the Writer agrees to provide citations and references where necessary. Scholastia reserves the right to conduct plagiarism checks and request corrections if plagiarism is detected.
10. Rejection of Work
Scholastia reserves the right to reject any part or the entirety of the eBook if it does not meet the agreed-upon quality standards, deadlines, or other specifications. In the event of rejection, Scholastia may request revisions or terminate the agreement and withhold payment, depending on the circumstances.
11. Termination
Either party may terminate the agreement with written notice if the other party fails to meet the terms and conditions laid out in this agreement. In the event of termination, the Writer shall be compensated for the work completed up to the point of termination.
12. Independent Contractor Status
The Writer is an independent contractor and is not an employee of Scholastia. The Writer is responsible for their own taxes, benefits, and insurance. This agreement does not create an employer-employee relationship.
13. Indemnity
The Writer agrees to indemnify and hold Scholastia harmless against any legal claims or disputes arising from plagiarism, defamation, or other violations of intellectual property laws.
14. Governing Law
This agreement will be governed by and construed in accordance with the laws of India. Any disputes arising from this agreement shall be resolved in the courts of India.
15. Amendments
Any amendments to these Terms and Conditions must be in writing and signed by both parties. Oral agreements or modifications are not valid.
16. Royalty Payments for eBooks
Scholastia will, at its discretion, offer the Writer a percentage of the royalties earned from the sale of the eBook. The terms of royalty payments will be as follows:
- Gross and Net Amount: When a student purchases your Submitted Content, we calculate the gross amount of the sale as the amount actually received by Scholastia from the student (“Gross Amount”). From this, we subtract any Sales Taxes to calculate the net amount of the sale (“Net Amount”).
- Percentage of Royalties: The Writer will receive a percentage of the net royalties from the sale of the eBook, calculated as 60% of the sales revenue after deductions for distribution fees, taxes, and other expenses. To exemplify, if an ebook is enlisted for Rs. 199 on Scholastia’s E-Book Shop without any discount, after necessary deductions (2.5% transactional fee and 18% GST), from the remaining Rs. 168.64 the author of the book will receive Rs. 101.18 (60% of the “Net Amount”) per sale made.
- Payment Currency: Scholastia makes all writer payments in Indian Rupees (INR) regardless of the currency with which the sale was made. Scholastia is not responsible for your foreign currency conversion fees, wiring fees, or any other processing fees that you may incur. Your revenue report will show the sales price (in local currency) and your converted revenue amount (in INR).
- Payment Schedule: Royalties will be paid on a quarterly basis, with the first payment to be made 6 months after the eBook’s release. Scholastia will provide the Writer with a detailed report of sales and royalties for each payment period.
- Exclusivity and Rights: The Writer acknowledges that royalty payments will only apply to sales made through platforms or methods agreed upon by both parties. If the eBook is sold via other means not covered by this agreement, the Writer will not be entitled to royalty payments for those sales unless otherwise specified in a future agreement.
- Accounting and Reporting: Scholastia will provide the Writer with detailed sales and royalty statements upon request, reflecting the total sales figures and the Writer’s corresponding share.
- No Royalties on Free Distribution: If the eBook is distributed for free, the Writer will not be entitled to royalty payments for such distributions unless specifically agreed upon in writing.
17. Price of Ebook(s)
The “Writer” has no control over setting the final price of an ebook. It is entirely at Scholastia’s discretion to decide and finalise the net price of an ebook.
18. Use of Company Logo and Trademarks
You must:
- only use the images of our company logo that we make available to you, as detailed in any guidelines we may publish;
- only use our logo in connection with the promotion and sale of your Submitted Content available on Scholastia or your participation on Scholastia; and
You must not:
- use our logo separately for sale of your course on anywhere other than Scholastia’s very own platform;
- use our logo in a misleading or disparaging way;
- use our logo in a way that implies that we endorse, sponsor, or approve of your Submitted Content or services; or
- use our logo in a way that violates applicable law or in connection with an obscene, indecent, or unlawful topic or material.
Other Legal Terms
These Terms are similar to any other contract in that they contain boring but necessary legal terms that secure us from a variety of potential calamities and specify the legal connection between us and you.
Legal Binding Contract
You agree to engage in a contractual agreement with Scholastia by registering, or using our services.
Disclaimers
Our platform may be unavailable due to planned maintenance or a technical issue with the site. It’s also possible that we’ll run into security difficulties. These are only a few instances.
Compensation
We may take legal action against you if you act in a way that puts us in legal trouble.
Jurisdiction and Governing Law
When these Terms relate to “Scholastia,” they’re referring to the Scholastia entity with which you’ve entered into a contract. If you’re a student, your legal entity and governing law are usually defined by where you live.
Our Relationship
We concur that we do not have a partnership, alliance, employment, contractor, or agency relationship.
No Assignment
These Terms may not be assigned or transferred (or the rights and licenses granted under them). For example, if you created an account as a firm employee, you won’t be able to switch your account to another employee. Without limitation, we may assign these Conditions (or the rights and licenses granted under them) to another firm or person.
No right, advantage, or remedy is conferred on any third-party person or entity by these Terms. You acknowledge that your account is non-transferable and that upon your demise, all rights to your account and other privileges under these Terms will be terminated.
Revising Terms
We may revise these Terms from time to time to explain our practices or to address new or different practices (for example, when we add new features), and Scholastia maintains the right to alter and/or change these Terms at any time in its sole discretion.
If we make a significant change, we will inform you in a prominent way, such as an email notification. Unless otherwise specified, changes will come into effect the day they are posted.
If you continue to use our Services after the changes are implemented, you are agreeing to the changes.
Miscellaneous Terms
- From time to time, we may update these Terms to clarify our practices or to reflect new or different practices (such as when we add new features), and Scholastia reserves the right in its sole discretion to modify and/or make changes to these Terms at any time. If we make any material change, we will notify you using prominent means such as by email notice sent to the email address specified in your account or by posting a notice through our Services. Modifications will become effective on the day they are posted unless stated otherwise.
- Your continued use of our Services after changes become effective shall mean that you accept those changes. Any revised Terms shall supersede all previous Terms.
- Any version of these Terms in a language other than English is provided for convenience and you understand and agree that the English language will control if there is any conflict.
By agreeing to these Terms and Conditions, the Writer affirms their understanding and commitment to the above provisions.
